Terms of Use

1. About the Site

The Site gives information about Invergent and its products and services. It also links to our open-source software and to models we publish. Those are released under their own licences, which govern their use.

2. Eligibility

You may use the Site only in compliance with the laws that apply to you. If you use the Site on behalf of a company or other organisation, "you" means that organisation, and you confirm that you have the authority to accept these Terms for it.

3. Using the Site

Your licence

As long as you comply with these Terms, we give you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your own information.

What you may not do

Unless the law allows it despite this restriction, you may not:

• use the Site for any unlawful purpose;
• infringe any intellectual property or other rights in the Site or its Materials (defined below), including by copying, distributing or publicly displaying them;
• modify the Site;
• interfere with or get around any part of the Site, including its security or access controls, or interfere with anyone else's use of it;
• reverse engineer, or otherwise try to obtain the source code of, any proprietary software that runs the Site; or
• copy or download content from the Site in bulk with automated tools such as robots, spiders or scrapers. Search engines and similar services that index the Site for search are not affected.

Information you send us

Please do not send us confidential or proprietary information through the Site, or by email in response to it, unless we have agreed to receive it under a confidentiality agreement. If you send us suggestions or comments about the Site or our products ("Feedback"), you give us a perpetual, irrevocable, worldwide, royalty-free right to use that Feedback for any purpose, including to improve the Site and to develop products and services, without any obligation to you.

4. Ownership

Invergent owns and operates the Site. Its text, graphics, designs, films, data, software and other content ("Materials") belong to Invergent or its licensors and are protected by intellectual property laws. You may use the Materials only as these Terms allow. We keep all rights we do not expressly grant.

5. Links to other websites

The Site links to websites run by others, such as GitHub and Hugging Face. We do not control those websites and are not responsible for their content.

6. Changes to these Terms

We may change these Terms from time to time. We will post the new version on this page with a new "Last updated" date, and it applies to your use of the Site from then on. A dispute is decided under the version that was in force when it arose.

7. Changes to the Site

We may change, suspend or stop any part of the Site at any time, temporarily or permanently, without notice.

8. Ending your use

These Terms apply whenever you use the Site. If you breach them, you must stop using the Site and your licence ends. The sections on what you may not do, information you send us, ownership, and sections 9 to 13 continue to apply after that.

9. Your responsibility

You are responsible for how you use the Site. To the extent the law allows, you will compensate Invergent, its officers, employees and affiliates for any claim brought by a third party, and for the related losses and reasonable legal costs, that arises from your breach of these Terms or of the law, or from your infringement of someone else's rights through the Site.

10. No warranties

The Site and its Materials are provided "as is" and "as available". The Site is for information only, and nothing on it is professional advice. To the extent the law allows, we make no promises about the Site, express or implied, including that it will be accurate, complete, uninterrupted, secure or free of errors or viruses.

Nothing in these Terms limits any rights you have as a consumer that the law does not allow to be limited.

11. Limitation of liability

To the extent the law allows, Invergent is not liable to you for any indirect or consequential loss, or for any loss of profit, revenue, data or goodwill, arising from your use of the Site or your inability to use it. Our total liability to you for all claims relating to the Site is limited to EUR 100.

These limits do not apply to liability for damage we cause intentionally or through gross negligence, for death or personal injury, or to any other liability that cannot be limited or excluded by law.

12. Governing law and disputes

These Terms are governed by Romanian law. Any dispute about them or about the Site will be decided by the courts of Romania.

If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in the courts of that country.

13. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Invergent about the Site. Our Acceptable Use Policy applies to our services, not to the Site.

You may not transfer these Terms or your rights under them without our written consent. We may transfer them, for example as part of a reorganisation or a sale of our business. If we do not enforce a provision, that is not a waiver of it. If a court finds any part of these Terms invalid, the rest remains in force. Headings are for convenience only, and "including" means "including without limitation".

The Site is run from the European Union. If you use it from elsewhere, you are responsible for complying with your local laws.
